The declaration from the New York Stock Exchange American-listed fund is a routine income disclosure, but its notice on possible return of capital is a reminder for income-focused investors to read the small print.

Municipal bond fund distribution notice concept for Neuberger Municipal Fund

Neuberger Municipal Fund Inc. (NYSE American: NBH) has declared a monthly distribution of $0.05417 per share of common stock. The distribution is payable on 15 September 2026, with a record date and ex-date of 31 August 2026. The fund seeks income exempt from regular federal income tax, though distributions may be subject to the federal alternative minimum tax for some stockholders. The fund is managed by Neuberger, the employee-owned investment manager, which reports approximately $613 billion in assets under management across equities, fixed income, private markets, real estate and hedge fund portfolios as of 30 June 2026.

Composition and return-of-capital notice

Neuberger said the distribution, and future distributions, may consist of net investment income, realised capital gains and return of capital. Where a fund distributes more than its net investment income in a given year, the excess may include realised gains or a return of capital. To the extent a distribution includes a return of capital, the fund's net asset value per share may decline and an investor's cost basis in their shares would be reduced accordingly.

In compliance with Section 19 of the Investment Company Act of 1940, Neuberger said it would issue a notice for any distribution that does not consist solely of net investment income. Such a notice, the fund said, is for informational purposes only and is not intended for tax reporting; it would set out estimated portions of the distribution attributable to net investment income, capital gains and return of capital respectively. The final determination of the source and tax character of all 2026 distributions will be made after the year-end.

Why it matters for private wealth

Closed-end municipal bond funds of this kind are a long-standing component of tax-conscious income portfolios for UK-connected and international investors with US-dollar exposure and US tax obligations. The routine nature of the disclosure is itself the point: holders of income-generating closed-end vehicles are required by regulation to be told, on a recurring basis, when a distribution may not be fully covered by earned income, allowing advisers to factor return-of-capital risk into total-return and cost-basis calculations rather than treating the headline yield as income alone.

Neuberger, founded in 1939, is employee-owned with no corporate parent or unaffiliated external shareholders, and employs approximately 3,000 people across 26 countries.
