Mubadala Capital to Acquire Majority Stake in Arrive Logistics

Existing investors ATL Partners and Lead Edge Capital retain meaningful stakes as management rolls significant equity into a deal expected to close in the fourth quarter of 2026.

Arrive Logistics has announced it has entered into a definitive agreement under which Mubadala Capital, the global alternative asset management arm of Mubadala Investment Company, will acquire a majority equity interest in the company. ATL Partners, Lead Edge Capital and other existing investors will retain meaningful stakes alongside Arrive's management team, who are rolling significant equity into the transaction. Founded in 2014 and headquartered in Austin, Texas, Arrive has grown into one of North America's largest truckload brokerages, moving freight for more than 5,500 customers with a network of over 10,000 core carriers and more than 2,000 employees. The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions.

Technology investment to accelerate growth

Mubadala Capital's investment is expected to allow Arrive to accelerate growth across expanded service offerings, talent acquisition and technology innovation, centred on ARRIVEnow, Arrive's proprietary Transportation Management System. Matt Pyatt, Chief Executive and co-founder of Arrive Logistics, said: "This transaction positions Arrive to continue building on our unprecedented growth. We have been deliberate about high-quality investors from day one, selecting partners who share our belief that being the leading North American truckload provider is within reach." Sam Merksamer, Partner at Mubadala Capital, said Arrive had "continuously grown load volume and market share through multiple freight cycles and without compromising on service or culture," describing that execution as "rare."

Existing backers retain stakes

Nimay Mehta, Managing Partner at Lead Edge Capital, which partnered with Arrive's founder-led team in 2018, said the opportunity ahead was "even greater" than what the company had already built, citing artificial intelligence as "a generational inflection point." Sanjay Arora, Partner at ATL Partners, which has worked with Arrive for five years, said the firm continued "to have conviction in Arrive's future." J.P. Morgan Securities acted as exclusive financial adviser and Sidley Austin as legal counsel to Mubadala Capital, while BofA Securities acted as exclusive financial and capital markets adviser and Holland & Knight as legal counsel to Arrive.
